TERMS AND CONDITIONS OF SALE (B2C & B2B)

Article 1 – Scope of Application

These Terms and Conditions of Sale govern the contractual relationship between AVLAB - AVECOM SARL, a limited liability company with its registered office at 67 rue Barrault, 75013 Paris, France, SIRET 484 579 099 00033 (hereinafter "the Seller"), and any buyer (hereinafter "the Customer"), whether:

  • a consumer: any individual acting for purposes outside their trade, business or profession;
  • a professional: any individual or legal entity acting within the scope of their commercial, industrial, craft or professional activity.

Any purchase made on avlab.fr implies full and unconditional acceptance of these Terms. For professionals, these Terms take precedence over any document issued by the Customer, including their own general purchasing conditions.

Article 2 – Products

Products offered for sale are those listed on avlab.fr at the time of browsing. Photographs and descriptions are provided for illustrative purposes only and are not contractually binding. The Seller reserves the right to modify its product offering at any time.

Professionals wishing to place large or recurring orders may contact the Seller at contact@avlab.fr for a customised quote.

Article 3 – Pricing

  • Consumers: Prices are listed in euros (€), inclusive of all taxes (VAT included).
  • Professionals: Prices are listed in euros (€) excluding VAT. Applicable VAT will be added at the rate in force at the time of invoicing. Customers established in another EU member state with a valid intra-community VAT number may benefit from a VAT exemption upon providing said number.

The Seller reserves the right to modify prices at any time. Orders are invoiced at the price in force at the time of validation. Shipping costs are displayed separately before order confirmation.

Article 4 – Orders

Orders are placed via avlab.fr. An order is definitively recorded upon payment validation, and a confirmation email is sent to the Customer.

The Seller reserves the right to cancel or refuse any order from a Customer with whom a payment dispute exists, or where there are doubts regarding the solvency of a professional Customer.

Article 5 – Payment

  • Consumers: Payment is made online via the methods available on the website. Banking data is not retained by the Seller.
  • Professionals: Unless otherwise agreed in writing, payment is due upon receipt of invoice, within a maximum of 30 net days in accordance with French commercial law. Any late payment will automatically incur, without prior notice, late payment penalties at a rate of 3 times the legal interest rate, plus a fixed recovery fee of €40.

Article 6 – Delivery

Products are delivered to the address provided at the time of ordering. Delivery times are indicative only. In case of delay, the Customer may contact the Seller at contact@avlab.fr.

Any reservations regarding the condition of a parcel must be made with the carrier within 3 days of receipt. Risk transfers to the Customer upon delivery.

Article 7 – Right of Withdrawal

  • Consumers: In accordance with French consumer law, consumers have 14 calendar days from receipt of the product to exercise their right of withdrawal, without justification or penalty. Notice must be sent to contact@avlab.fr. Return shipping costs are borne by the Customer. Reimbursement will be made within 14 days of receipt of the returned product.
  • Professionals: The right of withdrawal does not apply to contracts concluded between professionals in the course of their main business activity. No returns will be accepted without prior written agreement from the Seller.

Article 8 – Retention of Title (Professionals)

The Seller retains ownership of sold products until full payment of the price has been received. Professional Customers undertake not to resell, transform or pledge products before full payment.

Article 9 – Warranties

  • Consumers: Products benefit from the legal warranty of conformity and the warranty against hidden defects under French law.
  • Professionals: The legal warranty of conformity does not apply. Products benefit only from the warranty against hidden defects. Any claim must be submitted in writing to contact@avlab.fr within 8 days of receipt.

Article 10 – Liability

The Seller's liability is limited to direct damages and shall not exceed the amount of the order concerned. The Seller shall not be liable for indirect damages (loss of revenue, loss of profit, reputational damage, etc.).

Article 11 – Personal Data

Data collected during the order process is used for order processing and customer relationship management in accordance with the GDPR. Customers may exercise their rights of access, rectification and deletion by contacting: contact@avlab.fr.

Article 12 – Disputes and Applicable Law

These Terms are governed by French law.

  • Consumers: In the event of a dispute, an amicable resolution will be sought first. Customers may use the EU online dispute resolution platform: https://ec.europa.eu/consumers/odr.
  • Professionals: Any dispute falls under the exclusive jurisdiction of the Commercial Court of Paris, even in cases involving multiple defendants or warranty claims.
